Sanvord – Terms of Service

These Terms of Service (“Terms”) govern access to and use of any products, services, software, platforms, tools, or websites provided by Sanvord (“Sanvord”, “we”, “us”, “our”) (collectively, the “Services”).

By accessing or using any Sanvord Service, you (“Customer”, “User”) agree to be legally bound by these Terms.

 

1. Description of the Services

Sanvord provides software-based services designed to deliver automated insights, analysis, or information relating to digital systems, assets, or environments.

Unless expressly stated otherwise in a service-specific agreement or schedule, all Services are provided for informational purposes only and do not guarantee the security, compliance, accuracy, completeness, or suitability of any system, asset, or environment.

 

2. Supplementary Use Only – No Professional Advice

The Services, including any outputs, reports, scores, ratings, recommendations, alerts, or other information, are provided for informational purposes only and are intended to be used as supplementary tools.

The Services are not a substitute for, and must be used in addition to, appropriate:

  • Professional information security assessments
  • Penetration testing or vulnerability testing
  • Legal, regulatory, or compliance advice
  • Internal risk management, governance, audit, or assurance processes

Sanvord does not provide legal, regulatory, compliance, audit, penetration testing, or professional advisory services, and does not guarantee that use of the Services will meet any legal, regulatory, contractual, or industry requirements.

Customers remain solely responsible for:

  • Assessing risk, security, and compliance
  • Obtaining independent professional advice where required
  • Decisions, actions, or remediation taken based on the Services

Any reliance placed on the Services or their outputs is entirely at the Customer’s own risk.

 

3. Eligibility and Authority

You represent and warrant that:

  • You have the legal authority to bind the entity on whose behalf you use the Services
  • You are authorised to access, analyse, or submit any systems, assets, or data provided to the Services

Sanvord assumes no responsibility for verifying such authorisation.

 

4. Acceptable Use

Use of the Services is subject to Sanvord’s Acceptable Use Policy (AUP), which is incorporated into these Terms by reference.

Violation of the AUP constitutes a material breach of these Terms.

 

5. No Warranty / No Guarantee

The Services are provided “as-is” and “as-available”.

To the maximum extent permitted by law, Sanvord expressly disclaims all warranties, including but not limited to:

  • Accuracy or completeness of outputs
  • Fitness for a particular purpose
  • Non-infringement
  • Availability, uptime, or error-free operation

Sanvord does not guarantee that the Services will identify all issues, risks, errors, vulnerabilities, or misconfigurations.

 

6. Limitation of Liability

To the maximum extent permitted by applicable law:

6.1 Exclusion of Damages

Sanvord, its directors, officers, employees, agents, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, revenue, business opportunity, data, goodwill, reputation, business interruption, or third-party claims, whether arising in contract, tort (including negligence), breach of statutory duty, misrepresentation, or otherwise, even if advised of the possibility.

6.2 No Liability for Outcomes

Sanvord shall have no liability for:

  • Reliance on the Services or their outputs
  • Any failure to identify issues, risks, or weaknesses
  • Any loss, damage, or incident arising from use of the Services

6.3 Aggregate Liability Cap

Sanvord’s total aggregate liability arising out of or in connection with the Services or these Terms shall not exceed the total fees paid by the Customer to Sanvord in the twelve (12) months preceding the event giving rise to the claim.

Where Services are provided free of charge, liability is strictly limited to £100 (one hundred pounds sterling).

6.4 Single Claim

All claims arising from the same or related acts or events shall be treated as a single claim.

6.5 Statutory Carve-Out

Nothing in these Terms limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under applicable law

 

7. Customer Responsibility

The Customer is solely responsible for:

  • Use and interpretation of Service outputs
  • Actions taken based on the Services
  • Compliance with applicable laws and policies
  • Secure handling of data once delivered

Sanvord is not responsible for Customer decisions or actions.

 

8. Unauthorised or Illegal Use

Customers must not:

  • Use the Services without proper authority
  • Violate applicable laws or regulations
  • Reverse engineer, disrupt, or abuse the Services

Sanvord may suspend or terminate access immediately for misuse or suspected illegal activity.

 

9. Data Protection and Data Handling

Sanvord processes personal data in accordance with applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

For data protection purposes:

  • The Customer acts as data controller for data submitted to the Services
  • Sanvord acts as a data processor or independent controller, as applicable, depending on the nature and purpose of processing

Sanvord implements appropriate technical and organisational measures to protect personal data.
Once data or outputs are delivered, the Customer assumes responsibility for secure storage, handling, and onward use.

10. Intellectual Property

All Services, software, methodologies, outputs, and materials remain the exclusive property of Sanvord.
No ownership rights are transferred.
Customers may not copy, resell, sublicense, or distribute the Services or outputs without written permission.

 

11. Service Availability

Sanvord does not guarantee uninterrupted availability.
Maintenance, updates, or outages may occur without notice.

 

12. Termination

Sanvord may suspend or terminate access:

  • For breach of these Terms or the AUP
  • For suspected misuse or illegal activity
  • At its sole discretion

Termination does not affect accrued rights or liabilities.

 

13. Indemnification

The Customer shall indemnify and hold harmless Sanvord from claims arising from:

  • Unauthorised or unlawful use of the Services
  • Misuse of outputs
  • Violations of law
  • Third-party rights infringement
  • Regulatory investigations or enforcement actions

This obligation survives termination.
It does not apply to claims arising from Sanvord’s fraud or wilful misconduct.

 

14. Force Majeure

Sanvord shall not be liable for failure or delay caused by events beyond its reasonable control, including natural disasters, government actions, outages, third-party service failures, or cyber incidents not caused by wilful misconduct.

 

15. Changes to the Terms

Sanvord may update these Terms at any time. Continued use constitutes acceptance.

 

16. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.
Courts of England and Wales have exclusive jurisdiction.

 

17. Entire Agreement

These Terms, together with the AUP and Privacy Policy, constitute the entire agreement between Sanvord and the Customer.
